Clients are responsible for:
Service fees are as agreed in the service contract. All fees are due within 30 days of invoice date unless otherwise specified.
Late payments may result in service suspension and additional charges. We reserve the right to charge interest on overdue amounts.
All intellectual property rights in our services, including software, documentation, and methodologies, remain our property. Clients may not copy, modify, or distribute our proprietary materials without written consent.
We maintain strict confidentiality regarding all client information and data. We will not disclose client information to third parties without written consent, except as required by law.
We implement appropriate security measures to protect client data. However, clients remain responsible for their own data security and compliance with applicable regulations.
Our liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
We reserve the right to modify or discontinue services with reasonable notice. We will work with clients to minimize disruption during any service changes.
Clients may terminate services with 30 days written notice. Early termination may incur additional charges as specified in the service contract.
We may terminate services immediately for breach of contract, non-payment, or other material violations of these terms.
We are not liable for delays or failures due to circumstances beyond our control, including natural disasters, government actions, or other force majeure events.
Any disputes arising from these terms will be resolved through binding arbitration in accordance with UK law. The arbitration will be conducted in Scotland.
These terms are governed by the laws of Scotland. Any legal proceedings will be conducted in Scottish courts.
We may update these terms from time to time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of the updated terms.
